Terms of service

Draft for review. This page hasn't been checked by a solicitor yet, and anything in square brackets still needs filling in. It isn't in force until it's published without this notice.

These terms are an agreement between [Company name] Ltd ("we") and the business that signs up to Sittings ("you"). Sittings is for businesses only, not for personal use. By creating an account, you agree to these terms on behalf of your business.

1. Your account

You're responsible for the people you give logins to and for what they do in your account. Keep sign-in details secure, and tell us straight away at [contact email] if you think someone has got into your account without permission. Your admins decide what each member of staff can see and do.

2. Free trial

New accounts get a 14-day free trial. At the end of the trial, choose a plan to keep using the service. If you don't, the same steps apply as for a missed payment (section 4).

3. Plans, prices and payment

Our plans and prices are listed on the pricing page. Plans are billed in advance, monthly or yearly, by card through our payment provider. Every SMS and WhatsApp message you send to your clients counts towards your plan's monthly allowance of texts, and a long message counts as two or more. Texts beyond the allowance cost 5p to 10p per SMS and 5p to 6p per WhatsApp message (depending on your plan), and are billed on a separate invoice after each month ends. Texts that aren't delivered aren't charged, and emails don't count. Prices are the full amount: we aren't registered for VAT, so no VAT is added. We'll give you at least [30] days' notice by email before changing the price of your plan.

4. If a payment fails

We'll let you know and try the payment again. If it's still unpaid 7 days after it was due, we suspend your account so that most changes can't be made. You'll still be able to sign in, see your data, take payments from your clients and update your billing details. If it's still unpaid 14 days after that, the account becomes read-only. We delete the account's data 90 days after it was suspended, and we'll email you before we do.

5. Cancelling

You can cancel at any time from the Billing page. Cancellation takes effect at the end of your current billing period, and [we don't refund part months]. You can ask us for a copy of your data before you leave, or at any point in the 90 days after your account closes. After those 90 days we delete it.

6. Your data

You own the data you put into Sittings, including your client records. We only use it to provide the service, as described in our privacy notice and our data processing agreement, which forms part of these terms. You're responsible for having a lawful basis for the client data you store and for the messages you send.

7. Messages to your clients

Appointment reminders and confirmations are service messages. Marketing texts and emails may only go to clients who've agreed to receive them, and must give them an easy way to opt out, as UK law requires. Don't use Sittings to send spam.

8. Card payments

Card payments you take at the desk go through your own card machine, under your agreement with its provider.Sittings only records them. Deposits that clients pay when they book online are processed by our payment provider. We aren't a party to payments between you and your clients.

9. Acceptable use

Don't use the service for anything unlawful, upload harmful code, try to get into another business's data, resell the service without our written agreement, or deliberately overload it.

10. Availability and changes

We work to keep Sittings available and back it up every night, but we can't promise the service will never be interrupted. We may improve or change features. If we remove something you rely on, we'll tell you in advance.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law. Apart from that, we aren't liable for indirect losses or loss of profit, and our total liability in any 12-month period is limited to the fees you paid us in that period.

12. Suspending or ending your account

We may suspend or close an account that seriously breaches these terms. Where it's reasonable to do so, we'll warn you first and give you time to put things right.

13. Changes to these terms

We'll email account holders at least [30] days before a significant change to these terms takes effect.

14. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear any dispute about them.
